Terms of Service

1. Agreement to Terms

Welcome to QtpiAI. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service") operated by KaizenX Technology Inc. ("QtpiAI," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1.1 Eligibility

You must be 18 years of age or older to create an account. If a student under 18 will use QtpiAI, the account must be created and held by the student's parent or legal guardian, who agrees to these Terms on the student's behalf and is responsible for the student's use of the Service. Where child profiles are available, the parent or guardian creates one for each student as described in Section 1.4.

The Service is currently not available to residents of Quebec. By creating an account you confirm that you do not reside in Quebec.

1.2 Parent-Held Accounts and Child Profiles

There is one model for student use of QtpiAI. A parent or legal guardian holds the account, pays for it, and creates a child profile for each student in the family. The student signs in to that profile with a username and a password that you set. A child profile has no email address and can be created only from a parent account.

Accounts created before the date at the top of these Terms, and used by the person who holds them, continue to work that way. If the holder of such an account is a student under 18, a parent or guardian must supervise that account and agrees to these Terms on the student's behalf. When an account creates its first child profile, practice moves to the child profiles and the account becomes a parent account.

By holding an account and by creating a child profile, you represent and warrant that:

• You are 18 years of age or older
• You are the parent or legal guardian of every student whose profile you create
• You agree to these Terms for yourself and on behalf of each of those students
• You accept responsibility for each student's compliance with these Terms
• You are the account holder for all payment and billing purposes
• You may manage, review, or delete the account and any child profile at any time

We rely on that representation. We do not independently verify anyone's age, identity, or guardianship, and we cannot confirm that a person who accepts these Terms is the parent or legal guardian of the students on the account. If you believe an account or a child profile was created by someone who is not responsible for that child, write to us at support@qtpi.ai and we will look into it.

1.3 Parental Supervision

Parents and guardians are responsible for supervising their child's use of QtpiAI. This includes:

• Monitoring your child's interactions with the AI tutor
• Ensuring your child uses the Service appropriately for educational purposes
• Reviewing your child's progress and activity as you see fit
• Contacting us if you have concerns about your child's use of the Service

You may review or request deletion of your child's data at any time by contacting us at support@qtpi.ai.

1.4 Child Profiles

Child profiles are being introduced gradually and may not yet be available on your account.

A child profile is a place inside your account where one student practises. You create it, you choose its name, you set and reset its password, and you delete it. Deleting a child profile deletes that student's practice history with it, as described in our Privacy Policy.

• The student uses QtpiAI under your account and your supervision, and you agree to these Terms on the student's behalf.
• As the parent or guardian who holds the account, you can view all information in the child profiles under that account, including practice activity and progress.
• We recommend that you choose a profile name that is not the student's full real name.
• A child profile signs in to School Math practice only. It cannot change billing, settings, or email preferences.
• A student may keep a shared streak with up to three teammates, while you leave Team streaks with friends on. Teammates are added by friend code and take effect only when the other student accepts. A teammate is another child profile.
• A teammate sees the display name you chose, whether your student practised today, and the shared streak count. A student can send a teammate one encouragement a day, chosen from a fixed list of phrases we wrote.
• You can remove any teammate, or switch Team streaks with friends off altogether, at any time in settings.
• The number of child profiles your plan includes is stated in Section 2.4.

2. Account Registration

2.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Not share your account credentials with others
• Notify us immediately of any unauthorized access to your account

2.2 Account Security

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2.3 One Account Per Person

Each person may maintain only one account. Creating multiple accounts to circumvent restrictions or for any other purpose is prohibited.

A Family plan does not change this rule. A Family plan links accounts that already exist, one for each person, so that one payer covers several people. It does not allow one person to hold two accounts.

2.4 Plans, Child Profiles, and Linked Accounts

The Free plan and the Pro plan each cover one learner. A Family plan lets one account holder pay for up to three learners, each with the features of the Pro plan. A learner is either a linked account, held by its own account holder, or, where child profiles are available, a child profile under the holder's own account. The holder manages links and child profiles in Settings. The number of learners a plan covers is shown on our pricing page and at checkout.

If your plan changes to one that covers fewer learners, learners beyond the number your plan covers are paused, and a student cannot practise on a paused profile until you restore a plan that covers it.

A linked account is not a child profile: it is a separate account, held by its own account holder, with its own login and its own data. Sections 2.5 to 2.7 describe how links are made, changed, and ended.

A Family plan with linked accounts has two roles:

• The payer is the account holder who buys the Family plan. The payer manages the plan and is responsible for all payment (Section 3.9).
• A member is an account that the payer has linked to the plan. A member receives the paid features of the plan and is never charged for them.

2.5 Family Plan Invitations

• The payer invites a person by entering the email address of that person's existing QtpiAI account. We do not create an account from an invitation, and an invitation to an email address with no account will not send.
• An invitation expires 7 days after it is sent. The payer may send it again after it expires.
• The payer may cancel a pending invitation at any time before it is accepted.
• The invited person may accept or decline. Nothing is linked and nothing changes on either account until the invited person accepts.
• We limit how many invitations one payer may send in a day, to protect email addresses from being tested against our records.
• A person who already pays for their own subscription must cancel it before accepting an invitation. They keep the access they have already paid for until the end of that billing period.
• While an account is a member of a Family plan, that account cannot buy its own subscription. The member must leave the plan first.

2.6 What a Family Plan Shares Between Linked Accounts

This section is about accounts held by other adults and linked to a Family plan. It is not about child profiles: a child profile is part of your own account, and Section 1.4 states what you see of your student's work. Between linked accounts, a Family plan shares payment and does not share schoolwork. Specifically:

• The payer can see, for each member: the member's display name, the email address the payer used to invite them, whether the invitation is pending or accepted, and the date the member joined.
• A member can see, of the payer: the payer's display name only.
• A member can see, of another member: nothing. Members are not shown to each other.

Paying for a linked account does not give the payer access to it. A parent or guardian who wants to see a student's work day to day should create a child profile for that student on their own account, as described in Sections 1.2 and 1.4. To review, correct, or delete a student's information held under a linked account, write to us at support@qtpi.ai.

2.7 Leaving a Family Plan and Removing a Member

• A member may leave a Family plan at any time from their account settings. The member does not need the payer's permission.
• The payer may remove any member from the plan at any time.
• The payer cannot be removed from their own plan. To end the plan, the payer cancels the subscription (Section 3.5).
• When an account is unlinked, for any reason, it returns to the Free plan immediately and loses the paid features of the Family plan.
• An unlinked account keeps all of its own data, including its practice history, progress, and AI tutor conversations. Unlinking deletes no account and no schoolwork.
• A freed place on the plan may be offered to another person by invitation.
• Removing or losing a member does not change the price of the plan and does not create a refund or a credit (Section 3.6).

If the payer cancels the Family plan, or if payment for it fails or ends for any other reason, every account linked to the plan returns to the Free plan at the same time as the payer's own account.

A Family plan is not account sharing. Every person on the plan signs in with their own credentials, and the prohibition on sharing credentials in Section 4.1 continues to apply to everyone on the plan.

3. Subscription and Payments

3.1 Subscription Plans

We offer the following subscription tiers (all prices in Canadian dollars):

We may also offer other plans, including Family plans that cover more than one account (Section 2.4). The plans available to you, the number of accounts each plan covers, and their prices are shown on our pricing page and at checkout.

Prices are subject to change. We will notify you of any price changes before they take effect on your next billing cycle.

3.2 Billing Cycles

Subscriptions are billed in advance on a recurring basis according to the billing cycle you select (monthly or annually). Your billing cycle begins on the date you subscribe and renews automatically on the same date each billing period.

3.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. The payment method on file will be charged the applicable subscription fee.

3.4 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for the subscription fees and any applicable taxes. You agree to provide current, complete, and accurate billing information.

3.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will retain access to paid features until that date
• Your account will revert to the Free plan after the billing period ends
• No partial refunds will be issued for unused time in the current billing period

3.6 Refund Policy

If you have any billing issues, please contact us at support@qtpi.ai.

3.7 Free Trials

If we offer a free trial, you may be required to provide payment information to start the trial. If you do not cancel before the trial ends, you will be automatically charged for the subscription plan selected. You may cancel during the trial period without charge.

3.8 Taxes

Subscription fees are exclusive of applicable taxes (including GST/HST in Canada). You are responsible for paying any taxes associated with your subscription.

3.9 Family Plan Billing

A Family plan is one subscription with one payer. The rules in this Section 3 apply to it, with the following additions:

• The payer is the account holder for all payment and billing purposes for the whole plan, including for every linked account.
• We charge only the payment method on file for the payer's account. We never charge a member for a Family plan, and we do not split a Family plan across several payment methods.
• The price of the plan does not change when a member joins, leaves, or is removed. Adding or removing a member does not create a refund, a credit, or a change to the amount charged.
• Only the payer may cancel the plan. A member who wants to stop using it leaves the plan (Section 2.7); leaving does not cancel the payer's subscription.
• When the plan is cancelled, the payer and every member keep the paid features until the end of the billing period already paid for. All of those accounts then revert to the Free plan.
• The refund policy in Section 3.6 applies to the plan as a whole. A member has no separate billing or refund claim, because a member pays nothing.
• A child profile is never charged and is never a linked account. Child profiles are covered by the price of the plan that includes them (Section 2.4).

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.1 Prohibited Activities

You agree NOT to:

• Share Accounts: Share your login credentials or allow others to access your account
• Automated Access: Use bots, scrapers, or automated tools to access the Service
• Data Collection: Scrape, harvest, or collect data from the Service
• Reverse Engineering: Reverse engineer, decompile, or attempt to extract source code
• Circumvent Security: Bypass or attempt to bypass security measures
• Interfere with Service: Disrupt, overload, or impair the Service or its infrastructure
• Impersonation: Impersonate another person or misrepresent your identity
• Illegal Use: Use the Service for any illegal purpose

4.2 AI Tutor Usage

When using the AI tutor, you agree NOT to:

• Ask questions unrelated to math or educational content
• Attempt to manipulate the AI into producing inappropriate content
• Use the AI tutor during actual contest examinations (this constitutes cheating)
• Submit AI-generated work as your own in school assignments without disclosure
• Use the AI tutor to generate content for commercial purposes

4.3 Academic Integrity

QtpiAI is designed to help you learn and practice for math contests. Using our Service to cheat on actual contests or examinations is strictly prohibited. You are responsible for complying with your school's and contest organizer's academic integrity policies.

4.4 Reporting Violations

If you become aware of any misuse of the Service or violations of these Terms, please report it to us at support@qtpi.ai.

5. Intellectual Property

5.1 Our Content

The Service, including its design, features, text, graphics, logos, and software, is owned by QtpiAI and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

5.2 CEMC Contest Questions

Our Service includes practice questions from Waterloo CEMC math contests (Gauss, Pascal, Cayley, Fermat). These questions are the intellectual property of the Centre for Education in Mathematics and Computing (CEMC) at the University of Waterloo. We display these questions for educational purposes. You may not:

• Reproduce or redistribute contest questions outside of personal study
• Use contest questions for commercial purposes
• Claim ownership of CEMC contest content

5.3 User Content

You retain ownership of any content you submit to the Service (such as messages to the AI tutor). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content as necessary to provide and improve the Service.

5.4 AI-Generated Explanations

Explanations and responses generated by our AI tutor are provided for your personal educational use. These AI-generated explanations:

• Are provided "as-is" without warranty of accuracy
• May not be reproduced or distributed commercially
• Should be verified and not relied upon as authoritative sources

5.5 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.

6. AI Tutor Disclaimer

6.1 AI Limitations

Our AI tutor is powered by artificial intelligence technology. While we strive for accuracy:

• AI may make mistakes. Explanations may contain errors, incorrect calculations, or flawed reasoning
• AI responses are generated algorithmically and are not reviewed by human tutors in real-time
• The AI may not always understand the context of your question correctly
• Mathematical notation and complex formulas may sometimes be rendered incorrectly

6.2 Not a Substitute

The AI tutor is an educational tool and is not a substitute for:

• Professional human tutoring
• Classroom instruction from qualified teachers
• Official CEMC contest preparation resources
• Your own critical thinking and problem-solving

6.3 No Performance Guarantee

We do not guarantee that using our Service or AI tutor will result in:

• Improved contest scores or rankings
• Specific academic outcomes
• Qualification for awards, scholarships, or advanced programs

Your results depend on many factors including your effort, prior knowledge, and individual learning abilities.

6.4 Verification

We strongly encourage you to verify AI explanations against official solutions, textbooks, or consult with teachers when in doubt. Critical thinking and verification are essential parts of learning mathematics.

7. Service Availability

7.1 Best Effort Availability

We strive to maintain high availability of our Service, but we do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (we will try to provide advance notice)
• Unscheduled maintenance or emergency repairs
• Technical issues, server failures, or network problems
• Third-party service outages (Supabase, Anthropic, Stripe, Vercel)
• Circumstances beyond our reasonable control

7.2 Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

7.3 No Uptime Guarantee

We do not provide any guarantee of uptime or service level agreement (SLA) for individual users. The Service is provided on an "as available" basis.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Q(T)PI^AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of goodwill or reputation
• Cost of substitute services
• Any damages resulting from errors in AI-generated content
• Any damages resulting from unauthorized access to your account
• Any damages relating to contest or academic performance

8.3 Maximum Liability

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of:

• The amount you paid to us in the 12 months preceding the claim, OR
• One hundred Canadian dollars ($100 CAD)

8.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. If these laws apply to you, some or all of the above exclusions or limitations may not apply, and you may have additional rights.

9. Indemnification

You agree to indemnify, defend, and hold harmless QtpiAI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable law
• Content you submit to the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through your account settings
• Deleting your account through your account settings
• Contacting us at support@qtpi.ai to request account deletion, or for a request about a student's information

10.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of subscription fees
• Extended inactivity
• At our sole discretion for any other reason

10.3 Effect of Termination

Upon termination:

• Your right to access the Service will cease immediately
• Your subscription will not renew
• We may delete your account data in accordance with our Privacy Policy
• If you pay for a Family plan, every account linked to it is unlinked and reverts to the Free plan; those accounts are not terminated, and they keep their own data
• If you are a member of a Family plan, your account is unlinked from it, and the payer's plan and every other account on it continue unchanged
• Provisions of these Terms that should survive termination will remain in effect (including limitations of liability, indemnification, and governing law)

10.4 No Refunds Upon Termination

If your account is terminated for violation of these Terms, you will not be entitled to any refund of subscription fees.

11. Governing Law and Disputes

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Alberta, Canada, for the resolution of any disputes arising from these Terms or the Service.

11.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@qtpi.ai and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days.

11.4 Class Action Waiver

To the extent permitted by law, you agree that any disputes will be resolved on an individual basis. You waive your right to participate in a class action lawsuit or class-wide arbitration against QtpiAI.

12. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last updated" date at the top of these Terms
• For material changes, we will notify you via email or a prominent notice on the Service
• Changes will become effective upon posting or on the date specified in the notice

Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and QtpiAI regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

13.5 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.
